SKRYBOT.PL SERVICE REGULATIONS

§ 1 Definitions

Application - an internet application available on the skrybot.pl website.
Skrybot - an application created by InStar Energy Lab S.A. with its registered office in Warsaw, address: ul. Grzybowska no. 4 lok. 106, entered into the Register of Entrepreneurs kept by the District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register under the KRS number: 0000803322, tax identification number (NIP): 7010638914, REGON number: 366020312;
Payer - a person who is a payer within the meaning of the Act;
Regulations - these regulations, addressed to Users.
User - a person using the Application;
Privileged User - a User who has the status of a consumer or an entrepreneur - a natural person who concludes an agreement directly related to its business activity, but not having a professional character resulting in particular from the subject of its business activity, made available on the basis of the provisions on the Central Register and Information on Economic Activity.
Other terms are given the meaning in accordance with the Regulations.

§ 2 General provisions

The Regulations specify the rules for Skrybot's provision of transcription services for recordings and subtitle translation for Users.
The Regulations apply to all services provided by Skrybot.

§ 3 Use

As part of the services provided under these Regulations, Skrybot provides transcription services for recordings and subtitle translation for the User.
The condition for using the Application by the User is to submit a recording or a URL of a recording and optionally pay for premium services.
The User should use the Application with respect for social coexistence rules and in accordance with the law. It is forbidden for Users to provide content of an unlawful nature.
The User declares that he/she is the owner of the author's property rights to the recordings he/she sends for the purpose of Skrybot providing transcription and subtitle translation services.
The User declares that his/her author's property rights to the recordings are indisputable, not burdened with the rights of third parties, and that he/she will not take any actions that could restrict or violate the scope of his/her rights. In connection with the above declaration, in the event that any claims by third parties arise against Skrybot in connection with the use of the recordings or related rights by Skrybot, the User undertakes to satisfy the justified claims of third parties and release Skrybot from the obligation to provide services in this respect.
The User allows for the publication of the generated transcription and subtitle translation on the skrybot.pl website.
To use the Application, it is necessary to have an internet browser with access to the Internet.

§4 Transcriptions of Recordings and Subtitle Translations

The user can transcribe video recordings and translate subtitles in the Application, in particular the user can:
- browse video transcriptions;
- add video addresses to transcriptions;
- pay for premium transcription services, including translation into English, generating captions using artificial intelligence, and promoting videos in the Skrybot catalog;
- download subtitles for videos in a format acceptable to video publishing services such as YouTube.
Skrybot does not charge any fees for its free transcription and subtitle translation services.
The parties agree to receive settlement documents, including VAT invoices, in electronic form.
Skrybot accepts transfers for the recipient only in the Polish currency (PLN), but the parties may also agree to accept transfers in another currency accepted by the payment gateway.

§ 5 Communication

The Regulations are in Polish, which is also the official language in which Skrybot communicates with Users.
The content of the Regulations is available within the Application. Upon the User's request, Skrybot provides the User with the content of the Regulations and information resulting from Article 27 of the Act, in a manner determined in accordance with Article 28 of the Act, in particular on a durable medium.
Without prejudice to other provisions of these Terms of Use, the User may communicate with Skrybot:

- in writing, to the following address: InStar Energy Lab S.A., Grzybowska 4/106, 00-131 Warsaw
Skrybot primarily communicates with Users electronically, i.e., via e-mail, without prejudice to Skrybot's right to communicate in another form, such as by phone or letter - in particular, Skrybot communicates with Users in writing if required by law.

§ 6 Personal data

Skrybot is the administrator of Users' personal data in the scope of the services provided.

§ 7 Complaints

Complaints can be submitted by the User:
- electronically, to the email address skrybot@isel.tech
- in writing, to the address: InStar Energy Lab S.A., Grzybowska 4/106, 00-131 Warsaw.
The complaint should contain a description of the objections raised and the identification of the complainant in a manner enabling Skrybot to identify them (e.g. by providing the name and surname (or name) of the User or the email address used within the Application).
Skrybot considers complaints promptly, no later than within 15 working days from their receipt, subject to the provision in paragraph 5. In the case of Users who are consumers, failure to respond to a complaint within the prescribed period shall be deemed as its acceptance.
If the complaint requires completion, Skrybot will request the User to complete it.
In particularly complex cases, if they prevent the complaint from being considered within the deadline specified in paragraph 3, Skrybot will explain to the User the reasons for the delay and indicate the circumstances that must be established to consider the complaint.
Skrybot will indicate a new deadline for considering the complaint and providing a response to the User, which shall not exceed 30 working days from the receipt of the complaint.
Skrybot provides the response to the complaint on a durable medium, in paper form, to the User's correspondence address, unless the User has requested to receive the response at the email address provided by them.
The complaint procedure does not exclude the User's rights, in particular the rights of a User who is a consumer, arising from the applicable law.
A User who is a consumer has the right to use out-of-court methods of complaint and redress, in particular:
- Permanent Consumer Arbitration Courts operating at Provincial Inspectorates of Trade Inspection;
- City (District) Consumer Ombudsman;
- ODR platform available at: http://ec.europa.eu/odr;
- additional information on amicable dispute resolution is available, among others, on the website: http://polubowne.uokik.gov.pl.
In the event of Skrybot not taking into account a complaint by a User who is a natural person, the User has the right to file a complaint with the Financial Ombudsman: http://www.rf.gov.pl.
The User has the right to bring an action against Skrybot to the General Court. The court having jurisdiction to settle disputes between the User and Skrybot is the court having jurisdiction under the provisions of the Code of Civil Procedure.

§ 8 Validity of the Agreement for the Provision of Services

The Agreement is concluded through the Application.
Termination of the Agreement is carried out through the Application.
The Regulations constitute a framework agreement that is concluded for an indefinite period.
The User may terminate the Agreement concluded for an indefinite period at any time, without giving a reason, with immediate effect.
To the extent that it does not violate mandatory provisions of the law, Skrybot may terminate the Agreement concluded with the User who is not a consumer at any time, with a 14-day notice period.
Skrybot may terminate the Agreement with the User who is a consumer for important reasons specified in paragraph 11, with a two-month notice period.
Skrybot is entitled to unilaterally change the Agreement with the User only for important reasons specified in paragraph 11, provided that the User is informed about the proposed changes:
- in the case of Users who are consumers - at least two months before the proposed date of their entry into force;
- in the case of Users who are not consumers - at least seven days before the proposed date of their entry into force.
The lack of User's objection to the proposed changes is equivalent to giving consent to them.
Before the proposed date of entry into force of the changes, the User has the right to terminate the Agreement with immediate effect, without incurring any fees.
If the User objects to the proposed changes but does not terminate the Agreement, the Agreement expires on the day preceding the date of entry into force of the proposed changes.
Important reasons for terminating or changing the Agreement are:
- adjustment of the Service or Application to legal provisions having an impact on them;
- change or appearance of new fees of a public-law nature affecting the provision of services;
- improvement of the functionality of the Services or activities aimed at increasing the competitiveness of the Services;
- improvement of the security of the Services provided;
- recommendations, suggestions, or other types of recommendations from public administration bodies, in particular bodies supervising Skrybot;
- changes in the costs of services provided by external suppliers, maintenance costs, and infrastructure service costs used in the provision of services;
- termination of the Agreement between the User and Skrybot for the provision of services within the Application.

§ 9 Withdrawal from the Agreement

(applies only to Users who are privileged Users)

The privileged User has the right to withdraw from the Agreement concluded with Skrybot within 14 days from its conclusion without giving a reason and incurring costs, subject to paragraph 4.
Withdrawal from the Agreement may be made, in particular, by submitting a declaration of withdrawal to Skrybot, the template of which is Annex 1 to the Agreement.
The declaration of withdrawal from the Agreement may be sent to Skrybot electronically or in writing, to the addresses indicated in the Agreement.
The commencement of paid Services before the expiration of the period for withdrawal from the Agreement is carried out only at the request of the privileged User, submitted through the Application. In the event of withdrawal from the Agreement after such a request has been made - the User bears the costs of the Services performed at their request, in accordance with the price list available in the Application.

§ 10 Final provisions

Polish law is applicable to matters related to this Regulation.
The parties may agree on the provision of additional services by Skrybot to the User, based on the regulations applicable to such services.

Below is the model withdrawal form that the Client being a privileged User may, but does not have to use:
